Specific services are provided under separate Service Agreements that detail scope, deliverables, timelines, fees, and other specific terms. In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for matters related to that specific service engagement.

4. Registration & Accounts

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4.3 Account Termination

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services if you provide any information that is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete.

5. Payments & Fees

5.1 Service Fees

Fees for our services are as specified in the relevant Service Agreement or as quoted on our Site. All fees are quoted in Indian Rupees (INR) unless otherwise specified.

5.2 Payment Terms

Payment terms are specified in each Service Agreement. Generally, we require:

• An advance payment or retainer fee before commencing work
• Progress payments as specified in the Service Agreement
• Final payment upon completion of services

5.3 Taxes

All fees are exclusive of applicable taxes, including GST. You are responsible for paying all taxes associated with your purchases, excluding taxes based on our net income.

5.4 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.

5.5 Refunds

Refund policies are specified in the relevant Service Agreement. Generally, advance payments are non-refundable once work has commenced, except as required by law or as specifically provided in the Service Agreement.

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Yashraj Agencies or our licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your personal or internal business purposes.

6.3 Restrictions

You may not:

• Copy, modify, or create derivative works of our Services or content
• Reverse engineer, decompile, or attempt to extract source code
• Remove any copyright or proprietary notices
• Use our intellectual property for any commercial purpose without our express written consent

6.4 Client Deliverables

Intellectual property rights to deliverables created specifically for a Client under a Service Agreement are typically transferred to the Client upon full payment, as specified in the Service Agreement.

7. User Content

7.1 Content Ownership

You retain ownership of any intellectual property rights that you hold in the content you submit, post, or display on or through our Services ("User Content").

7.2 License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and promoting our Services.

7.3 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content.

7.4 Prohibited Content

You may not submit User Content that is illegal, defamatory, obscene, threatening, invasive of privacy, infringing of intellectual property rights, or otherwise harmful to third parties.

• Interfering with or disrupting the Services or servers

9. Termination

9.1 By You

You may terminate your account at any time by contacting us at support@yashrajagencies.com. Termination of your account will not affect any obligations you have to us, including payment obligations.

9.2 By Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

We make no warranty that:

• The Services will meet your requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Services will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations

• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services

11.1 Maximum Liability

In no event shall Yashraj Agencies' total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Services during the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Yashraj Agencies, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

13. Dispute Resolution

13.1 Informal Resolution

We prefer to resolve disputes informally. Before filing a claim against Yashraj Agencies, you agree to try to resolve the dispute informally by contacting us at legal@yashrajagencies.com. We'll try to resolve the dispute informally by contacting you via email.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute arising from or relating to these Terms or our Services shall be finally settled by binding arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996.

13.3 No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

We encourage you to review these Terms periodically for any changes. The date of the last update is indicated at the beginning of these Terms.
